Join the revival of 3 hydroelectric power plants in France

The Acta Aquitaine project, developed by Acta Power, involves acquiring and rehabilitating 3 run-of-the-river hydroelectric power plants , located in Dordogne and Charente.


This portfolio contributes to the deployment of low-carbon energy and energy sovereignty. 5.2 GWh of clean electricity will be produced each year, equivalent to the consumption (excluding heating) of more than 2,300 people *.


For this operation, Acta Power is seeking to raise 2,000,000 € in a single tranche .

The 3 power plants, already in operation, have secured new electricity purchase contracts in exchange for renovation and performance improvement work to enhance their performance .

OBJECTIVE

The crowdfunding operation of Acta Aquitaine aims to raise up to 2,000,000 euros .

USE OF FUNDS

These funds will be used by the project holder to finance the acquisition of 3 hydroelectric plants .

REPAYMENT

The repayment of the bonds will take place through long-term refinancing .

🧬 The genesis

Acta Power began its activity by developing software for identifying suitable sites for the installation of hydroelectric power stations and for modelling water flows. With this experience and the company’s internal expertise, Acta Power aims to become an electricity producer, primarily through the acquisition of existing hydroelectric power stations .

Three run-of-river hydroelectric power stations in Dordogne and Charente have been identified to start operations.

💧 Technology: hydroelectric power

Hydropower is the leading source of renewable electricity in France (and the second largest low-carbon source after nuclear), accounting for nearly 14% of the electricity mix in 2014 ( RTE ).

In 2023, hydroelectric power represented an installed capacity of 25,864 MW ( France Hydro Électricité ). It is broken down into more than 2,500 facilities distributed by power as follows:

  • Step-through power stations 26%
  • Sluice-type power stations 16%
  • Reservoir power stations 40%
  • STEP: pumped storage power station 18%

💡 Did you know?

Run-of-river power stations are located along the course of rivers. There is no water retention and electricity is produced in real time, with no storage capacity, unlike dams. Run-of-river power stations have little or no capacity to modulate their production according to demand, and their output varies greatly depending on climatic events (rainfall, droughts, seasons, etc.).

On the other hand, they only require simple and less expensive installations than those of higher-power plants. Therefore, their production cost is lower, which compensates for the lower service provided.

🌊 Power stations

Acta Power, through its subsidiary Acta Aquitaine, will acquire, in whole or in part, three wind turbines with a total installed capacity of 1,000 kW .

New 20-year H16 Bis2 purchase obligation contracts have been secured with EDF Obligation d’Achat (EDF OA). In order to benefit from an attractive tariff that will more than double its current turnover (CA), Acta Power will have to carry out refurbishment work on the hydroelectric power stations.

🚧 Rehabilitation works

In exchange for the rates guaranteed under the purchase obligation contracts, work must be carried out to replace the main components of the power stations (turbines, generators, control systems, etc.). The previous owners do not wish to finance these investments, and Acta Power has taken advantage of this opportunity to acquire the three power stations.

Firstly, Acta Power will complete the purchase of shares and take control of the companies Moulins de Ménesplet, Mauriac and Mattard at the end of 2025. Renovation work will begin in the summer of 2027, as the manufacturing period for the turbines is approximately one year.

EDF Contract H16 bis

All new installations will sell their electricity through an EDF H16 bis purchase obligation contract .


PPA TODAY

The facilities preserved in their current state will sell their electricity through a Power Purchase Agreement (PPA) to LLUM , a French green electricity supplier based in the Eastern Pyrenees.

The team from French public research develops modeling tools based on the latest work from INRAE, to reconstruct past flows and predict future flows of watercourses.

In collaboration with the Laboratory of Climate and Environmental Sciences (LSCE), Acta Power analyzes the expected impacts of climate change on hydrology to ensure the sustainability of projects.

3. Evaporation of Water Bodies

Based on the FLake model, Acta Power's simulations allow for reliable, rapid, and cost-effective evaluation of water loss due to evaporation across various water bodies.

Les 3 centrales à remettre à niveau sont aujourd’hui déjà en exploitation. En conséquence, les travaux de génie civil, de raccordement, et de construction de bâtiment seront superficiels. La majeure partie de la main d’œuvre aura pour objet de remplacer les turbines, et de remettre à neuf la machinerie des moulins. De surcroît, la part de la main d’œuvre dans les CAPEX est assez réduite. Et avec les devis des turbines Kaplan pour chaque centrale reçus, les risques d’augmentation de CAPEX sont mesurés.

Mitigation methods

Les flux opérationnels tirés de la vente d’électricité au tarif d’achat sécurisé sont prévus pour début 2028. D’ici là, l’activité des centrales ne pourra pas dégager de trésorerie suffisante pour rembourser le capital de la dette Total Energies Invest. Le remboursement aura donc pour origine un refinancement via un fonds d’investissement ou une nouvelle levée obligataire participative. Ce risque est atténué grâce au profil des travaux à réaliser. En effet, ayant affaire à des centrales en exploitation, elles disposent chacune de structures déjà établies, limitant ainsi l’objet de la main d’œuvre au remplacement des turbines, et à l’adaptation des machines et du réseau de distribution à celles-ci.

La structure Acta Power en elle-même ne possède pas de track record concernant la gestion de projet de ce type. Il présente, sans trésorerie solide, un risque fiancier. Cependant, les associés ayant fondé Acta Power possèdent une expérience réussie en tant que manager d’équipe chargée de financer, développer, construire et exploiter des centrales hydroélectriques de petits comme de gros calibres. Bien que les centrales disposent de contrats d’achat d’électricité, elles ne seront pas en activité lors des opérations de remises à niveau. Pour pallier ce risque, le financement Total Energies Invest a été structuré afin d’offrir un matelas de liquidités suffisant, dans l’attente du financement bancaire, également dimensionné pour proposer une marge de liquidité confortable.

La technologie choisie (Kaplan) pour ce projet fait référence dans le secteur hydroélectrique. Les équipes réalisant la maintenance des centrales sont déjà constituées et assureront la continuité de l’activité. De plus, Acta Power, via ses associés, possède également en interne les compétences nécessaires afin d’assurer la maintenance des centrales.
